Terms of Service
1. Agreement to these terms
These Terms of Service set out the rules that apply when you use our website or engage the drape rig yard services of Sloth Motion Production Limited. By browsing the site, sending an enquiry or collecting equipment from the yard, you agree to these terms on behalf of yourself and, where relevant, the production you represent.
Please read them carefully before making a booking. If you do not accept a term, do not use the site or collect stock, and contact the yard desk so that we can discuss the matter directly. No variation of these terms is effective unless it is confirmed in writing by an authorised person at Sloth Motion Production Limited.
These terms apply alongside any specific quotation, pull sheet or delivery note issued for a job. Where a signed pull sheet contains a specific figure that differs from a general statement in these terms, the signed document governs that detail.
2. Definitions
In these terms, the following words have the meanings given below.
- Company means Sloth Motion Production Limited, a company registered in Hong Kong.
- Yard means the store and preparation area at Rm C 5/F Goldfield Indl Bldg Blk 1, 144 Tai Lin Pai Rd, Kwai Chung, Hong Kong - 999077, Hong Kong (HK).
- Client means the person or production company that requests stock, signs a pull sheet or collects equipment.
- Equipment means all drape, stands, grip items, cyclorama materials, track, dolly bodies and other stock supplied by the Company.
- Pull sheet means the document listing the stock released to the Client and the condition recorded at collection.
- Site means the website at holdviesupply.lat and any page published on it.
3. Eligibility and authority
The yard supplies equipment to productions, studios and professional crews. By requesting stock, you confirm that you are at least eighteen years old and that you have authority to act for the production on whose behalf you are dealing.
Where a Client is a company, a partnership or another organisation, the person signing the pull sheet confirms that they are authorised to bind that organisation to these terms. If it later appears that a signature was given without authority, the person who signed remains responsible for the equipment and for the charges that arise.
We may ask for evidence of authority, a company registration number or a purchase order reference before releasing high value stock. Refusing a reasonable request for that evidence may delay or prevent a collection.
4. Our services
The Company operates a drape rig yard and supplies the following services from its Kwai Chung store.
Drape rig setups
Supply and installation of rail, clamps, weights and drape panels for room blackouts, window softening and set dressing. Installation may be carried out by the Company team or by the Client crew, as agreed on the pull sheet.
Light stand rentals
Rental of C-stands, baby stands, combo stands and heavy rollers with the related heads, arms and sandbags. Stands are inspected at the yard before release and again at return.
Grip truck loadouts
Packing and supply of grip stock for a truck, including apple boxes, clamps, flags, scrims and safety line, recorded on a manifest that travels with the load.
Backdrop cyclorama builds
Supply and assembly of curved corner pieces, hardboard, tape and paint for a seamless sweep, including on site painting where the quotation provides for it.
Track dolly packages
Rental of straight and curved track, dolly bodies, track ends and levelling accessories, with a test pass before the camera is mounted where the Company lays the track.
Overnight store pulls
Arranged collections outside normal yard hours, with a member of staff present, crates staged in advance and a manifest signed at collection.
The description on the Site is a guide. The exact scope for a job is the scope recorded in the quotation and the signed pull sheet.
5. Quotations and pull sheets
A quotation is valid for fourteen days from the date it is issued unless it states a different period. Availability changes quickly during busy seasons, so a quotation does not reserve stock until a booking is confirmed and, where required, a deposit is received.
A pull sheet lists every item released to the Client. The Client or an authorised crew member signs the sheet before the load leaves the yard. The signature confirms that the items were counted, that the condition notes were understood and that the Client accepts responsibility for the stock.
If the Client believes an item is missing or damaged at collection, the note must be recorded on the pull sheet before the load leaves. Once the load has left the yard without a note, the recorded condition is treated as accepted, subject to any claim made promptly under the damage section below.
6. Collections and delivery
Collections take place during the business hours published on the contact page, or at an overnight window agreed in advance. The Client should arrive with a vehicle suitable for the load and with enough hands to move the equipment safely.
Where the Company arranges delivery, the delivery address, access instructions and receiving contact must be accurate and confirmed in writing. If a delivery cannot be completed because access is blocked or no authorised person is present, the Client is responsible for the reasonable cost of a return visit or redelivery.
Risk in the equipment passes to the Client at the point of collection or, for delivery, at the point of unloading at the delivery address. The Client is responsible for the equipment from that moment until it is returned and accepted at the yard.
7. Acceptable use
Equipment must be used for its intended purpose by competent crew. The following conduct is not permitted and may lead to immediate recall of stock and a charge for any resulting loss.
- Using a stand, drape rail or track beyond its rated load.
- Altering, cutting, welding or modifying equipment without written approval.
- Sub-renting or lending equipment to another production without our written agreement.
- Removing safety labels, tags or serial marks.
- Using drape or rail outdoors or in wet conditions unless the quotation specifically provides for outdoor use and the necessary safety measures are in place.
- Attempting to access, copy or interfere with the Site or its enquiry form.
Where the Client crew installs a drape rig, the Client is responsible for fixing points, structural checks and safe working methods. We can advise on loads and clamps, but the final check of the host structure rests with the production.
8. Deposits and payment
A deposit may be required to confirm a booking, particularly for high value stock such as cyclorama materials, large drape runs or full dolly packages. The deposit is set out in the quotation and is applied against the final invoice.
Invoices are payable within the period stated on the invoice or, where no period is stated, within fourteen days of the invoice date. Payment methods accepted by the yard include bank transfer and other methods confirmed in writing by the desk.
Late payment may attract interest at the rate stated on the invoice, and we may suspend further releases of stock while an overdue balance remains unpaid. If a balance remains unpaid after reasonable reminders, we may refer the matter to a collection service and recover the reasonable costs of doing so.
All sums stated are exclusive of any tax, duty or levy that applies unless the quotation states otherwise.
9. Risk, title and insurance
Title in the equipment remains with the Company at all times. The Client holds the equipment as a bailee and must not sell, pledge or otherwise deal with it as if it were owned by the Client.
The Client is responsible for insuring the equipment from collection until return, or for confirming that the production insurance covers hired equipment at full replacement value. A certificate of insurance may be requested before high value stock is released.
Where the Client fails to return equipment, or returns it in a condition beyond normal wear, the Company may invoice the replacement value of the item and any associated handling cost. Recovery of the equipment remains a separate right.
10. Care of equipment on set
Drape should be folded along its crease and stored in the bags supplied. Stands should be collapsed before transport and secured so that a riser cannot swing loose. Track should be cleaned before it is packed, because grit under a wheel causes the most common bump in a dolly move.
Sandbags must remain on the stand feet at all times when a head is mounted. We supply the bag count recorded on the pull sheet, and the Client should confirm that the same number returns. Lost bags are charged at the replacement rate shown on the quotation.
Cyclorama materials should be protected from moisture and sharp edges. If a painted face is damaged during the shoot, the Client should tell the desk immediately so that repair or replacement can be arranged before the return, rather than discovered at the yard.
Consumables such as tape, paint and seam filler are supplied against an agreed allowance. The allowance is noted on the pull sheet, and usage beyond it may be charged at cost.
11. Damage, loss and charges
Every return is checked against the pull sheet. The yard records the condition of each item, notes any damage and, where useful, photographs the item in the condition received. A copy of the return notes is available to the Client on request.
The Client is charged for damage beyond normal wear, for missing items and for loss. Normal wear includes slight scuffs on a stand leg, minor creasing in drape and ordinary surface marks on a crate. Beyond normal wear includes bent risers, torn drape panels, cracked cyclorama corners, bent track and missing pins or bags.
Where an item can be repaired, the charge is the reasonable cost of repair. Where it cannot be repaired, the charge is the replacement value less any residual value agreed at the time. We do not add a handling margin to a damage charge beyond the cost of repair or replacement and the associated administration shown in the quotation.
A damage charge may be deducted from a deposit or added to a final invoice. The Client may ask for the evidence supporting a charge, and we will provide it within a reasonable time.
12. Returns and late collections
Equipment must be returned on the date and at the time stated in the quotation or the pull sheet. If a shoot runs over, the Client should tell the desk as soon as the overrun is known so that a new return slot can be arranged.
Late returns may attract an additional day rate for each item held beyond the booked period. The rate is shown in the quotation, and the charge is applied fairly where the delay was not caused by the Company.
Returns must be made during yard hours unless an overnight return has been agreed. Equipment left outside the yard without agreement is not treated as returned, and the Client remains responsible for it until a member of staff signs it back in.
Where a return requires an inspection that cannot be completed at the counter, we will note the condition at drop off and complete the full check later the same working day. Any charge that arises is communicated in writing.
13. Cancellation and changes
A Client may cancel a booking by writing to service@holdviesupply.lat or by calling +19897887288. The time of the written notice determines the charge that applies.
- Cancellation more than seven days before collection may incur a small administration charge only.
- Cancellation between two and seven days before collection may incur a charge covering preparation time already spent.
- Cancellation within forty eight hours of collection may incur a charge equal to one day of the booked rate where stock was reserved and could not be re-let.
Changes to a booking, such as an extra day, a different drape weight or an additional stand, are subject to availability. We will confirm any change in writing and issue an updated pull sheet or quotation where the figures change.
If the Company has to cancel or reduce a booking because of a fault in the stock or a safety concern, we will offer a replacement where possible and refund any charge for stock that could not be supplied.
14. Intellectual property
The text, layout, styling, illustrations and code on the Site belong to the Company and are protected by copyright and other rights. You may read the pages, print a page for internal reference and share a link, but you may not copy substantial parts of the Site for a commercial purpose without written permission.
The names Sloth Motion Production Limited and the yard marks used on the Site belong to the Company. Nothing in these terms grants a licence to use a name, mark or logo in a way that suggests endorsement or partnership.
Photographs or drawings of layouts prepared for a Client remain the property of the Company, but the Client may use them for the internal planning of the booked production. They may not be published as promotional material without permission.
15. Limitation of liability
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence and liability for fraud.
Subject to that, the Company is not liable for loss of profit, loss of a shoot day, loss of opportunity or any indirect or consequential loss arising from the supply of equipment or the use of the Site. The Company is not responsible for delays caused by weather, traffic, industrial action, a public health order or another event outside its reasonable control.
Where liability is not otherwise excluded, the total liability of the Company for a job is limited to the total amount payable by the Client for the equipment supplied under that job. This limit does not apply to a liability that the law does not allow us to limit.
The Client is responsible for the safe use of equipment after collection and for the supervision of its crew. Advice given by the yard is given in good faith, but the final decision on a fixing point or a working method rests with the production.
16. Indemnity
The Client agrees to indemnify the Company against claims, losses and reasonable costs that arise from the Client use of the equipment, from a breach of these terms, or from an injury or property damage caused by the Client crew on a set.
This indemnity does not apply to the extent that a claim is caused by the negligence of the Company or by equipment supplied in a defective condition that the yard failed to disclose at collection.
If a third party makes a claim against the Company that falls within this section, we will tell the Client promptly and allow a reasonable opportunity to respond, while keeping control of our own defence where the law allows.
17. Website and external links
We try to keep the Site accurate and available, but we do not promise that every page will be free of error or available without interruption. Stock notes and descriptions are a guide and are confirmed only on a quotation or pull sheet.
The Site may contain links to other websites, such as mapping services or transport information. Those sites are not under our control, and we are not responsible for their content, availability or privacy practices.
You must not attempt to gain unauthorised access to the Site, interfere with its operation, submit malicious code through the enquiry form or use the Site in a way that could damage it or the experience of another visitor.
18. Privacy
Our handling of personal information is described in the Privacy Policy published on the Site. The policy explains what we collect, why we collect it, how long we keep it and how you can exercise your rights.
By using the Site or engaging our services, you acknowledge that information will be handled as described in that policy. If you have a privacy question that the policy does not answer, contact the desk at service@holdviesupply.lat.
19. Suspension and termination
We may suspend a booking or refuse a release of stock if an invoice is overdue, if a Client has failed to return equipment in the past, if safety concerns arise or if we reasonably believe that equipment is being used unlawfully or unsafely.
A suspension does not cancel the Client obligation to pay for stock already supplied or to return equipment already collected. Where a suspension is lifted, we will confirm the new terms in writing.
We may terminate the right to use the Site if a visitor breaches the acceptable use section or attempts to interfere with the Site. Termination of site access does not affect any contract for equipment already in progress.
20. Governing law and disputes
These terms are governed by the laws of Hong Kong. The courts of Hong Kong have exclusive jurisdiction over a dispute arising from them, subject to any right that a consumer may have to bring a claim in a local court under mandatory law.
Before starting formal proceedings, we ask that you raise the matter with the yard desk so that we can try to resolve it directly. Most questions about a return, a charge or a delivery can be settled with the pull sheet and a short conversation.
If a dispute is not resolved within thirty days of a written notice, either side may refer it to mediation before a mediator agreed by both sides. Mediation does not prevent either side from applying for urgent relief where that is necessary.
21. General provisions
Entire agreement
These terms, together with the quotation and the signed pull sheet, form the entire agreement for a job and replace any earlier discussion or statement about the same subject.
Severability
If a provision is found to be unenforceable, the remaining provisions continue in full force. The unenforceable provision will be read down to the extent needed to make it enforceable where that is possible.
No waiver
A delay in enforcing a right is not a waiver of that right. A waiver is effective only if it is given in writing by an authorised person.
Assignment
The Client may not assign a booking without written consent. The Company may assign its rights to a successor business that continues to supply the same services.
Notices
A notice to the Company must be sent in writing to the email address below or delivered to the yard address. A notice to the Client may be sent to the email address given on the pull sheet.
Changes to these terms
We may update these terms from time to time. The version published on the Site at the time of a booking applies to that booking, and a material change will be reflected in the effective date at the top of the page.
22. Contact details
Questions about these terms, a quotation or a booking can be sent to the yard desk. Please include the pull sheet reference where you have one, as it helps the desk locate the record quickly.
